ShiftiAI Free Trial Terms and Conditions

Last updated: 23 August 2026

Free trial terms for business customers evaluating ShiftiAI.

This is the same document as on the ShiftiAI application at my.shiftiai.com/terms.

By creating an account, accessing the platform, uploading data, inviting users, or clicking “I agree,” you agree to these Terms on behalf of the organization you represent.

If you do not agree to these Terms, you must not use ShiftiAI.

1. About ShiftiAI

ShiftiAI is an AI-assisted workforce scheduling and shift planning platform. The service helps organizations create optimized shift schedule recommendations based on business requirements, staff availability, employee preferences, roles, skills, certifications, seniority, cost factors, and other workforce-related inputs.

During the free trial, ShiftiAI is provided for evaluation purposes so that customers can test whether the platform fits their operational needs.

Until ShiftiAI is formally incorporated, references to “ShiftiAI,” “we,” “us,” or “our” mean the ShiftiAI project, product, founders, or the future Canadian legal entity operating the service. Once incorporated, these Terms should be updated with the official company name, address, and registration details.

2. Who These Terms Apply To

These Terms apply to business customers, including hotels, hospitality businesses, employers, workforce management providers, HR software companies, and other organizations using ShiftiAI.

These Terms do not create a direct employment relationship between ShiftiAI and any employee, worker, contractor, or staff member of the customer.

The organization using ShiftiAI is responsible for ensuring that the person accepting these Terms has authority to accept them on behalf of that organization.

3. Free Trial

ShiftiAI may offer a free trial for a period of five months, unless another period is agreed in writing.

The free trial is intended to allow the customer to test the platform, evaluate scheduling quality, understand the workflow, and decide whether to purchase a paid plan.

The free trial does not automatically convert into a paid subscription. After the trial ends, the customer must manually choose and accept a paid plan in order to continue using ShiftiAI.

ShiftiAI may limit trial features, user numbers, integrations, API access, support level, data volume, or scheduling capacity during the trial.

ShiftiAI may suspend or end a free trial if the customer misuses the service, uploads unlawful data, violates these Terms, creates security risks, or uses the platform in a way that may harm ShiftiAI, employees, third parties, or other users.

4. No Automatic Payment

ShiftiAI will not charge the customer automatically at the end of the free trial unless the customer separately chooses a paid plan and provides valid payment approval.

If the customer does not upgrade to a paid plan, access to the platform may be suspended or terminated after the trial period.

5. AI Recommendations Only

ShiftiAI provides schedule recommendations, optimization suggestions, reports, alerts, and decision-support outputs.

ShiftiAI does not make final employment decisions.

ShiftiAI does not automatically assign employees to shifts without customer review and approval.

The customer remains fully responsible for reviewing, editing, approving, publishing, communicating, and implementing any schedule.

The customer must ensure that a qualified human manager reviews ShiftiAI’s recommendations before using them in real operations.

6. Customer Responsibility for Final Schedules

The customer is responsible for:

  • checking schedule accuracy;
  • verifying labour-law compliance;
  • reviewing working hours, rest periods, overtime, breaks, holidays, and local employment rules;
  • confirming employee availability;
  • checking union agreements, internal policies, collective agreements, and contracts;
  • reviewing fairness and non-discrimination impacts;
  • communicating final schedules to employees;
  • handling employee complaints, disputes, exceptions, sickness, absence, and operational changes.

ShiftiAI helps with scheduling, but the customer remains the final decision-maker.

7. No Legal, HR, Medical, or Compliance Advice

ShiftiAI is not a law firm, HR consultancy, medical provider, occupational health provider, or labour-law compliance advisor.

The platform may help identify scheduling patterns, workload issues, fatigue-related indicators, overtime risks, or fairness concerns, but these outputs are informational only.

The customer should consult qualified legal, HR, labour, tax, union, occupational health, or compliance advisors where needed.

ShiftiAI does not guarantee that any schedule will comply with every law, regulation, collective agreement, employment contract, internal policy, or industry standard.

8. Customer Data

The customer may upload or provide workforce-related data, including employee names, email addresses, roles, skills, certifications, preferences, availability, location, seniority, salary or overtime information, sick leave information, fatigue or burnout survey responses, and other scheduling-related data.

The customer confirms that it has the legal right and authority to provide this data to ShiftiAI.

The customer is responsible for ensuring that employees, workers, contractors, or other data subjects receive any required privacy notices and that any required consent, legal basis, or authorization has been obtained.

The customer should only upload data that is necessary for using ShiftiAI.

9. Sensitive and Protected Data

Some data uploaded to ShiftiAI may be sensitive or protected under privacy, employment, equality, anti-discrimination, or health-data laws. This may include sick leave data, fatigue or burnout survey responses, health-related information, gender, location, salary, overtime information, or other data that could affect employment conditions.

The customer must not upload sensitive, health-related, legally restricted, or protected data unless:

  • it is necessary for the agreed scheduling purpose;
  • the customer has a valid legal basis to process and share that data;
  • employees have received appropriate notices where required;
  • appropriate safeguards are in place;
  • the use of the data complies with applicable law.

ShiftiAI may reject, delete, restrict, or request removal of data that appears unnecessary, excessive, unlawful, or inappropriate for the service.

10. Data Protection Roles

For most business customers, the customer is the controller or owner of the employee data, and ShiftiAI acts as a service provider or processor that processes the data on the customer’s behalf.

Where required by applicable law, including GDPR or similar privacy laws, the customer and ShiftiAI may need to enter into a separate Data Processing Agreement.

If there is a conflict between these Terms and a signed Data Processing Agreement, the Data Processing Agreement will control for personal-data processing matters.

11. Use of Customer Data

ShiftiAI may use Customer Data to:

  • provide the service;
  • generate schedule recommendations;
  • operate, maintain, secure, and improve the platform;
  • troubleshoot technical issues;
  • provide customer support;
  • monitor system performance;
  • prevent misuse, fraud, or security threats;
  • comply with legal obligations.

ShiftiAI will not sell Customer Data.

ShiftiAI will not use identifiable employee data to train public or general-purpose AI models unless the customer has given clear written permission.

ShiftiAI may use aggregated, anonymized, or de-identified data to improve scheduling models, analytics, reliability, and product performance, provided the data does not identify the customer, employees, or individual users.

12. Data Retention and Deletion

If the customer does not upgrade to a paid plan, ShiftiAI will delete or anonymize Customer Data within 30 days after the free trial ends, unless a longer retention period is required by law, security, dispute resolution, backup systems, or written agreement with the customer.

If the customer upgrades to a paid plan, ShiftiAI may continue storing Customer Data as needed to provide the service.

Backup copies may remain for a limited period after deletion, but ShiftiAI will not actively use deleted Customer Data except for backup recovery, legal compliance, security, or dispute purposes.

13. Security

ShiftiAI will use reasonable technical and organizational measures to protect Customer Data against unauthorized access, loss, misuse, alteration, or disclosure.

These measures may include access controls, secure infrastructure, encryption where appropriate, monitoring, authentication, backup procedures, and limited internal access.

The customer is responsible for maintaining the confidentiality of account credentials, controlling user access, and ensuring that only authorized personnel use ShiftiAI.

The customer must notify ShiftiAI immediately if it suspects unauthorized access, compromised credentials, misuse, or a security incident involving the platform.

14. AWS and Third-Party Infrastructure

ShiftiAI may use Amazon Web Services and other trusted service providers to host, operate, secure, monitor, or support the platform.

Customer Data may be processed or stored in countries where ShiftiAI or its service providers operate, subject to applicable law and relevant contractual safeguards.

ShiftiAI remains responsible for choosing service providers that support the secure operation of the platform.

15. Customer Account and Users

The customer is responsible for all activity under its account.

The customer must ensure that all users are authorized, trained, and using ShiftiAI for legitimate business purposes.

The customer must keep login credentials confidential and must not share accounts between multiple people unless ShiftiAI has allowed this.

ShiftiAI may suspend access if it reasonably believes that an account is being misused or creates a security, legal, or operational risk.

16. Acceptable Use

The customer must not:

  • use ShiftiAI for unlawful purposes;
  • upload data without legal authority;
  • use the platform to discriminate against employees or workers;
  • use ShiftiAI as the sole basis for employment decisions;
  • attempt to reverse-engineer, copy, or extract ShiftiAI’s algorithms, models, source code, or system design;
  • interfere with platform security;
  • access another customer’s data;
  • upload viruses, malware, or harmful code;
  • overload, scrape, or abuse the platform;
  • use ShiftiAI to build a competing product without written permission;
  • misrepresent AI-generated recommendations as final decisions made by ShiftiAI.

17. Fairness and Non-Discrimination

ShiftiAI is designed to support fairer and more transparent scheduling, but fairness depends on the quality of the data, customer settings, constraints, and human review.

The customer is responsible for ensuring that its use of ShiftiAI does not result in unlawful discrimination, unfair treatment, retaliation, or violation of employee rights.

The customer should regularly review schedule outputs for fairness, bias, workload balance, protected-characteristic impact, and compliance with internal policies.

18. Employee Communication

The customer is responsible for communicating with employees about the use of ShiftiAI where required.

This may include explaining what data is used, why it is used, how schedule recommendations are generated, who reviews the recommendations, and how employees can raise concerns.

ShiftiAI does not directly manage the customer’s employees unless separately agreed in writing.

19. Accuracy and Availability

ShiftiAI aims to provide useful, reliable, and high-quality scheduling recommendations.

However, the customer understands that AI and optimization systems may produce incomplete, inaccurate, unexpected, or unsuitable outputs.

ShiftiAI does not guarantee that every schedule will be optimal, error-free, legally compliant, accepted by employees, cost-minimizing, or operationally perfect.

During the free trial, the platform is provided on an “as is” and “as available” basis.

ShiftiAI may update, modify, improve, limit, or temporarily interrupt the service for maintenance, security, testing, or operational reasons.

20. Customer Inputs and Output Quality

The quality of ShiftiAI’s recommendations depends heavily on the accuracy, completeness, and quality of the data provided by the customer.

The customer is responsible for verifying that uploaded data is accurate, current, complete, and lawful.

ShiftiAI is not responsible for poor outputs caused by incorrect employee data, missing availability, wrong constraints, outdated rules, incomplete skills data, inaccurate pay data, or customer configuration mistakes.

21. Intellectual Property

ShiftiAI owns all rights, title, and interest in the platform, software, algorithms, models, workflows, designs, user interface, documentation, trademarks, product names, and related technology.

The customer does not receive ownership of ShiftiAI’s technology.

During the trial, ShiftiAI grants the customer a limited, non-exclusive, non-transferable, revocable right to use the platform for internal evaluation and scheduling purposes.

The customer owns its own Customer Data.

22. Feedback

The customer may provide ideas, suggestions, comments, bug reports, or improvement requests.

ShiftiAI may use this feedback to improve the platform without owing compensation, royalties, or ownership rights to the customer, provided ShiftiAI does not disclose the customer’s confidential information.

23. Confidentiality

Each party may receive confidential information from the other party.

Confidential information includes business information, product plans, pricing, technical information, employee data, customer data, security information, and non-public commercial information.

Each party agrees to protect the other party’s confidential information using reasonable care and to use it only for the purpose of evaluating or providing ShiftiAI.

Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, or lawfully received from another source.

24. Trial Support

During the free trial, ShiftiAI may provide reasonable support by email, chat, meetings, documentation, or onboarding sessions.

Trial support is provided at ShiftiAI’s discretion and may be limited compared with paid plans.

ShiftiAI does not guarantee any specific response time during the free trial unless separately agreed in writing.

25. Suspension and Termination

The customer may stop using ShiftiAI at any time.

ShiftiAI may suspend or terminate access if:

  • the free trial ends;
  • the customer violates these Terms;
  • the customer uploads unlawful or excessive data;
  • continued access creates security, legal, operational, or reputational risk;
  • the customer misuses the platform;
  • ShiftiAI decides to discontinue or modify the trial.

After termination, the customer must stop using the platform.

Data deletion will be handled according to the Data Retention and Deletion section.

26. No Warranty

To the maximum extent permitted by law, ShiftiAI provides the free trial without warranties of any kind.

ShiftiAI does not warrant that the service will be uninterrupted, error-free, fully secure, legally compliant for every jurisdiction, or suitable for every customer’s specific operational needs.

The customer uses the free trial at its own risk and remains responsible for final decisions.

27. Limitation of Liability

To the maximum extent permitted by law, ShiftiAI will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost business opportunity, employee claims, operational disruption, loss of goodwill, or data loss.

For any claim related to the free trial, ShiftiAI’s total liability will be limited to CAD $100 or the minimum amount required by applicable law, whichever is greater.

This limitation does not apply where liability cannot legally be limited.

28. Indemnity

The customer agrees to defend, indemnify, and hold harmless ShiftiAI from claims, damages, losses, liabilities, costs, and expenses arising from:

  • the customer’s use of ShiftiAI;
  • Customer Data uploaded to the platform;
  • employment decisions made by the customer;
  • schedules approved or implemented by the customer;
  • violation of labour, privacy, employment, equality, or anti-discrimination laws;
  • violation of these Terms;
  • unauthorized use of the customer’s account.

29. Changes to the Service or Terms

ShiftiAI may update the platform and these Terms from time to time.

If changes are material, ShiftiAI will take reasonable steps to notify the customer.

Continued use of ShiftiAI after updated Terms become effective means the customer accepts the updated Terms.

30. Governing Law

These Terms are governed by the laws of Canada and the applicable laws of the Canadian province where ShiftiAI is incorporated, without regard to conflict-of-law rules.

Once ShiftiAI is incorporated, this section should be updated to specify the exact province, such as Ontario, British Columbia, or another province.

31. Dispute Resolution

The parties will first try to resolve any dispute through good-faith discussion.

If the dispute cannot be resolved informally, the dispute will be handled in the courts of the Canadian province where ShiftiAI is incorporated, unless another dispute-resolution process is agreed in writing.

32. Entire Agreement

These Terms, together with any signed order form, privacy policy, data processing agreement, or written trial agreement, form the entire agreement between the customer and ShiftiAI regarding the free trial.
